Strategic Corporate Services Limited (SCS Ltd), being a company duly incorporated and domiciled in the Republic of Vanuatu (Vanuatu), operates exclusively under the laws and regulations of Vanuatu. Accordingly, the services we provide are governed by these legal frameworks, ensuring that all aspects of our operations adhere to the highest standards of compliance as mandated by Vanuatu law.

Moreover, as a Vanuatu-entity, SCS Ltd is subject to the exclusive jurisdiction of “competent” courts of Vanuatu. This jurisdiction applies to all matters related to our business operations, irrespective of the nature of the services we provide.

Offshore dealings:

Where SCS Ltd maintains a representative or branch office in another country, to the extent of our presence and operations, as permitted under the laws and regulations of such host country, SCS Ltd shall, to the extent that there is no conflict with Vanuatu’s laws and regulations, observe such local laws and regulations. It should be noted that ‘services rendered’ for which there is a charge or fee shall only be provided from and within the jurisdiction of Vanuatu.

Furthermore, where SCS Ltd provides services to clients who are residents of a foreign jurisdiction or partners with non-Vanuatuan firms, we continue to operate under the exclusive legal framework of Vanuatu. This means that while we observe and respect the legal systems of such foreign jurisdictions, our company remains subject exclusively to the laws and courts of Vanuatu.

This commitment to Vanuatu’s jurisdiction is clearly reflected in our Client Services Agreement, ensuring that our legal obligations are consistent and transparent across all areas of operation. However, there may be cases where jurisdictional prohibitions and/or limitations imposed upon citizens of certain overseas jurisdictions may prevent SCS Ltd from providing services of any nature to prospective clients, so affected.

Information:

Notwithstanding any obligations asserted by any non-Vanuatuan entity to provide information regarding its dealings with clients, prospective clients, or related parties of such clients, SCS Ltd will only comply if compelled by Vanuatu law to do so. In other words, no asserted legal obligation of a foreign entity will automatically impose legal obligations upon SCS Ltd to comply with its directions, instructions, or orders unless such compliance is mandated by a competent court of Vanuatu.

Observance of ceratin obligations:

While SCS Ltd operates exclusively under the legal jurisdiction of Vanuatu, the firm, in recognition of certain obligations of partnering firms, organizations, and clients based in foreign jurisdictions, voluntarily observes some requisite policies and procedures, including some of those required under UK law and by several EU member states. This includes, but is not limited to, maintaining a ‘Modern Anti-Slavery & Human Trafficking Statement’, thus ensuring that our operations and partnerships align with internationally recognized ethical standards.
